1. About These Studio Terms
These Studio Terms form a legally binding agreement between Pixelly Ltd ("Pixelly", "we", "us" or "our") and the business or self-employed trader that creates or operates a Studio Account (the "Studio"). The Studio supplies the Creative Services to Customers. Pixelly supplies marketplace services, including listings, search, messaging, Booking functionality and payment/payout facilitation, but is not the supplier of the Studio's Creative Services.
The Pixelly Website Terms of Use ("Website Terms") also apply when the Studio or its authorised users use Pixelly. These Studio Terms set out the specific terms that apply to Studio Accounts, subscriptions, listings, marketplace use and Bookings. Our Privacy Policy explains how Pixelly collects, uses and protects personal information. All Pixelly terms and policies apply subject to any rights or requirements that cannot be excluded or limited by law.
The Studio is an independent supplier and is not an employee, worker, agent, partner or representative of Pixelly. Pixelly does not guarantee Customer conduct, collection of sums that have not actually been paid through Stripe, a minimum number of enquiries or Bookings, or the Studio's commercial success.
These Studio Terms will be made available in a format that the Studio can save or keep for its records.
2. Definitions
In these Studio Terms:
"Booking" means a Booking accepted by the Studio and confirmed by Pixelly;
"Booking Date" means the agreed date or start date of the Creative Service;
"Booking Completion Date" means the date on which the Creative Services under the Booking are due to be completed;
"Booking Price" means the Studio's price for the Creative Services, excluding the separate Pixelly Service Fee;
"Total Booking Cost" means the Booking Price plus any mandatory Pixelly charges; and
"Creative Services" means photography, videography, editing, content creation and other related services offered through Pixelly.
3. Studio Eligibility and Accounts
To create and maintain a Studio Account, the Studio must satisfy the eligibility and Account requirements set out in this section.
The Studio must be acting for purposes relating to its trade, business, craft or profession and must be established in the United Kingdom. Studios may operate as sole traders, self-employed individuals, companies or other eligible business entities. Individuals acting only in a personal or non-business capacity are not eligible to list as Studios. Any on-location shoot or other in-person Creative Service booked through Pixelly must take place in the United Kingdom.
The person creating or operating the Studio Account must be at least 18 years old and must have authority to act for and bind the Studio. The Studio must ensure that its Account, business and contact information is accurate and kept up to date.
A Studio may maintain one Studio Account for each legal business entity unless Pixelly permits additional authorised users or seats. The Studio is responsible for any employees, contractors or authorised users who access its Account and for ensuring that Account credentials are kept secure.
The Studio must promptly notify Pixelly of any change affecting its ownership, authority, verification, insurance, payment details, eligibility or ability to perform an existing Booking.
4. Verification and Insurance
4.1 Verification
Pixelly may require identity, address, business, ownership, contact, tax-reporting, professional-permission or other information reasonably necessary to verify a Studio, reduce fraud or duplication, protect users or meet legal obligations. The Studio must provide accurate information and cooperate with reasonable re-verification.
Before a Studio can publish listings or accept Bookings, Pixelly requires identity and address verification and completion of any payment or payout verification required through Stripe. Pixelly may also require business, ownership, contact, tax-reporting or professional-permission information where relevant to the Studio or Creative Service. Verification documents submitted directly to Pixelly are handled within Pixelly's verification systems; information submitted directly to Stripe is handled by Stripe under its own terms and privacy information.
Pixelly may restrict listing, Booking or payout functionality while required verification is incomplete or where information appears false, inconsistent, expired or no longer satisfies a stated requirement. A Pixelly verification badge or status confirms only the check or status expressly described by Pixelly at the relevant time; it is not a guarantee or endorsement of quality, suitability or future performance.
4.2 Insurance
The Studio is responsible for identifying and maintaining any insurance required by law for its activities and any additional insurance requirement that Pixelly clearly states applies to the relevant service category or marketplace feature. Any new material Pixelly insurance requirement applying to an existing Studio will be introduced in accordance with section 18 where that section applies.
Where an insurance requirement applies, the Studio must maintain the required cover while offering the relevant Creative Service, provide evidence of that cover when reasonably requested and promptly notify Pixelly if the cover expires, is cancelled or materially changes.
Pixelly does not provide, arrange, broker or underwrite insurance and does not act as an insurance adviser or recommend whether any particular policy, insurer, level of cover or type of insurance is suitable for the Studio. Pixelly's role is limited to checking that the insurance cover required for the relevant service or marketplace feature is in place. The Studio is responsible for obtaining any professional or insurance advice it considers necessary and for ensuring that its insurance is appropriate for its business, activities and Creative Services.
Any review by Pixelly of insurance information or evidence is limited to checking compliance with the requirements Pixelly has stated for the marketplace. It does not amount to approval or endorsement of the policy, insurer, scope of cover or adequacy of the Studio's insurance, and does not transfer responsibility for the Studio's insurance arrangements to Pixelly.
5. Studio Profiles, Listings and Availability
The Studio is responsible for ensuring that its profile, portfolio, service descriptions and categorisation, deliverables, prices, VAT treatment where relevant, locations, travel charges, availability, timescales, usage rights and important service limitations are clear, accurate and not misleading. The Studio must select the service category or categories that most accurately reflect the Creative Services it offers through Pixelly. The Studio must provide Pixelly with the business identity, contact and other service-specific pre-contract information Pixelly reasonably requires to provide Customers with information required by applicable law.
The Studio must keep availability reasonably current. A displayed date is not a confirmed commitment until the Studio actively accepts the Booking and Pixelly sends the Booking Confirmation. The Studio must include all mandatory Studio charges in the Booking Price, or provide information enabling them to be calculated where the nature of the service means the amount cannot reasonably be fixed in advance. The Studio must not present optional charges as mandatory or omit unavoidable Studio charges from the price information it provides to Pixelly.
6. Ranking, Other Channels and Studio Data Access
6.1 Ranking and other channels
For Pixelly's default search, the principal ranking parameter is distance from the postcode entered by the Customer after matching the requested service and eligibility to appear. Distance is given greater weight because the default search is intended to surface relevant Studios geographically closest to the Customer's requested location. Customer-selected sorting or filters can change the order; for example, selecting review score will rank results according to that choice rather than default distance.
Pixelly does not currently sell preferential organic ranking and does not provide its own competing Creative Services. Studios may advertise and sell their services through other marketplaces or channels and may set different prices or conditions elsewhere. However, this does not affect any obligations that apply to Customers or Bookings introduced through Pixelly under these Studio Terms.
Pixelly does not currently operate a separate affiliate distribution programme for Studio services. Pixelly may promote its marketplace and Studio listings through Pixelly-controlled channels as described in section 13. If Pixelly introduces an additional distribution channel, affiliate programme or material form of differentiated treatment that must be disclosed by law, Pixelly will update these Terms as required.
6.2 Studio data access
While the Studio Account is active, the Studio can access the information made available through its dashboard and Booking records, including its own profile and listing information, enquiries and Bookings it is involved in, messages to which it is a party, payment and payout information, reviews and any Studio performance information Pixelly provides.
Pixelly has access to personal and non-personal information supplied or generated through use of the marketplace where reasonably necessary to operate, secure and administer Pixelly, comply with law, enforce the Terms or produce aggregated or anonymised marketplace information. A Studio is not given access to another Studio's confidential information, Pixelly's internal fraud or security indicators or unrelated Customer information.
Pixelly may make relevant Studio, Customer and Booking data available to Stripe and to hosting, database, security, communications, verification, professional-adviser and other service providers where reasonably necessary to operate Pixelly, administer transactions, protect the marketplace or comply with law. These necessary disclosures are not subject to a Studio opt-out where the service cannot reasonably be provided without them. Pixelly does not provide Studio or marketplace data to third parties for those third parties' own unrelated advertising, marketing or commercial exploitation.
When the Studio relationship ends, ordinary dashboard access will end after any limited period Pixelly keeps access available to administer remaining Bookings, payments, disputes or legal requirements. The Studio should download records it reasonably needs before voluntarily closing its Account. This does not affect any statutory right to request personal information or other records. Pixelly may retain information for lawful retention periods as described in the Privacy Policy.
7. Pricing, Pixelly Fees and Studio Subscription
The Studio controls the Booking Price for its Creative Services and is responsible for VAT and other taxes applicable to its own supplies. Consumer pricing must include VAT where legally required. Pixelly currently charges Customers a separate Service Fee equal to 2.5% of the Booking Price. The Total Booking Cost shown to the Customer will include this mandatory Service Fee, with the Studio price and Pixelly fee shown as a breakdown. The Service Fee is charged proportionately as the Customer makes payments and does not exceed 2.5% of the Booking Price in aggregate.
A Studio must not deliberately move a Customer or Booking introduced through Pixelly off-platform for the purpose of avoiding Pixelly’s applicable fees, payment processes or marketplace requirements.
Access to Studio features may require a recurring subscription. The applicable Subscription price, billing interval, VAT treatment, any free or promotional period, paid-start date, automatic renewal arrangements and cancellation terms will be shown clearly before the Studio subscribes and will form part of the Studio's Subscription agreement. Further details are set out in the Studio Subscription Terms, which the Studio must accept when activating a Subscription. If an introductory free period is offered, the paid subscription begins automatically at the price and interval shown at sign-up when that free period ends unless the Studio cancels before the stated paid-start date.
Unless stated otherwise at sign-up, a recurring subscription renews for the stated billing period until cancelled. The Studio may cancel using the cancellation method made available by Pixelly. Cancellation stops future renewals and access continues until the end of the current paid period unless the Account is restricted or terminated for breach. Amounts already paid are not normally refunded merely because the Studio cancels part-way through a paid period, except where required by law or to correct a Pixelly error.
8. Booking Request and Contract Formation
A Customer makes a Booking through Pixelly by submitting a Booking request to the Studio. Before the request is submitted, Pixelly shows the Customer the key Booking details, the Total Booking Cost, the amount due at that stage, any mandatory fees and the applicable cancellation information, and gives the Customer an opportunity to review and correct the Booking details before proceeding.
The required deposit or other payment will be authorised or taken through Stripe, as shown during checkout. The Studio must review and actively accept the Booking request and must not accept a Booking it knows it cannot reasonably perform.
The contract for the Creative Services is formed electronically between the Customer and the Studio when the Studio accepts the Booking request and Pixelly issues the Booking Confirmation. Pixelly will then provide the Customer with an electronic record of the confirmed Booking details, including through the Customer Account and/or by email. No separate paper contract will be issued.
If the Studio declines the Booking request, the request expires or the Booking cannot otherwise be confirmed, any payment authorisation will be released and any amount already taken will be refunded to the Customer, subject to the processing times of the relevant payment provider.
The Booking Confirmation records the specific details agreed for the Booking, including the Studio, Customer, Creative Services, date, time, package and price. The applicable listing or package details also form part of the agreement between the Customer and the Studio.
The Studio may provide supplementary terms relating to its Creative Services, including service procedures, delivery times, editing or revision arrangements, access requirements and usage rights. Any supplementary terms intended to form part of the Booking must be made available before the Booking is confirmed and must be fair, transparent, lawful and not misleading. Once validly incorporated, those terms form part of the agreement between the Customer and the Studio and the Customer must comply with them.
The Studio must not introduce new or materially different supplementary terms after the Booking has been confirmed unless the Customer agrees to them. Studio supplementary terms may deal with service-specific matters but must comply with the applicable Pixelly terms and with any rights or requirements that cannot lawfully be excluded or restricted.
Pixelly does not draft, approve or become a party to a Studio's supplementary terms merely because they are displayed or made available through Pixelly.
9. Payments, Stripe, Studio Payouts and Payment Holds
Payments and Studio payouts are processed through Stripe. Customer card details and Studio bank account details are provided directly to and held by Stripe; Pixelly does not receive or store the full underlying card or bank details.
The Studio must establish and maintain the Stripe connection or account required by Pixelly to receive payouts, keep the information required for payment administration reasonably up to date and complete any Stripe verification or information request necessary for the relevant payment or payout functionality. Pixelly may restrict payout or related functionality while a required Stripe or Pixelly verification requirement remains incomplete.
Unless the Booking page states otherwise, the Customer pays a 20% booking deposit of the Booking Price when submitting the Booking request. This is a booking deposit; the amount that may be retained if the Customer later cancels is determined by section 10 and the applicable cancellation terms rather than being absolutely non-refundable. The remaining 80% may be paid from 90 days before the Booking Date and must be paid no later than 30 days before the Booking Date. If a Booking is made 30 days or less before the Booking Date, the full Booking Price is payable through the Booking flow.
Funds remain within Stripe's payment infrastructure pending Studio payout under Pixelly's marketplace rules. After the Booking has been completed, the Studio payout process may begin at the earlier of: (a) the Customer and Studio both confirming through Pixelly that the Booking has been completed; or (b) seven days after the Booking Completion Date, provided no complaint, dispute, refund request, fraud concern, chargeback or other issue requiring review has been raised.
The period before payout allows both the Customer and the Studio to raise any concerns about the Booking before the Studio's payment is released. This may include concerns about the Creative Services, completion of the Booking, payment, a refund request or another relevant issue. Where an issue is raised by either party, or a verification, legal or payment-provider requirement applies, Pixelly may pause or delay the payout while the circumstances and any relevant evidence are reviewed.
You may still be required to respond to a complaint after payout has been released, and release of the payout does not affect any rights or remedies the Customer may have. However, once the Booking Price has been paid out to the Studio, Pixelly will not ordinarily be able to refund the Booking Price on the Studio's behalf. Any refund or other remedy due in relation to the Creative Services will remain the responsibility of the Studio, although Pixelly may provide reasonable assistance in facilitating the complaint or communication between the Customer and the Studio.
A chargeback or payment dispute does not by itself establish that the Studio is responsible for the loss. Any final reversal, offset or allocation against the Studio will be made in accordance with section 15, applicable law and the payment arrangements. Pixelly does not guarantee payment of sums that the Customer has never paid or that have not otherwise been collected.
10. Customer Cancellations
The cancellation terms that apply depend on the type of Creative Service booked. Before the Customer submits a Booking request, Pixelly will identify the applicable Booking category and show the corresponding cancellation terms. The percentages below are maximum standard contractual charges. These cancellation charges apply subject to any rights the Customer may have under applicable consumer law. A standard charge may be reduced where applying it would materially exceed the Studio's reasonable loss. The Studio must take reasonable steps to reduce its loss and must not recover twice for the same loss.
The examples below are intended as a guide and are not exhaustive. The classification shown during the Booking process will apply to the Booking, subject to any rights that cannot be excluded or restricted by law.
10.1 Fixed-date leisure Bookings
This category generally applies to Creative Services booked for a specific date or period primarily for personal, recreational or leisure purposes. Examples may include weddings, engagements, family or maternity shoots, private celebrations, parties and other personal events.
| When the Customer cancels | Maximum standard cancellation charge |
|---|---|
| 60 days or more before the Booking Date | 10% of Booking Price |
| 30-59 days before | 25% of Booking Price |
| 14-29 days before | 50% of Booking Price |
| 7-13 days before | 75% of Booking Price |
| Less than 7 days before / no-show | Up to 100% of Booking Price |
10.2 Fixed-date non-leisure Bookings
This category generally applies to Creative Services booked for a specific date or period primarily for business, commercial or professional purposes. Examples may include property and estate-agency photography, product photography, corporate photography or videography, commercial content creation, branding shoots and other business-related services.
| When the Customer cancels | Maximum standard cancellation charge |
|---|---|
| 30 days or more before the Booking Date | 10% of Booking Price |
| 14-29 days before | 25% of Booking Price |
| 7-13 days before | 50% of Booking Price |
| 2-6 days before | 75% of Booking Price |
| Less than 48 hours before / no-show | Up to 100% of Booking Price |
10.3 Flexible non-leisure work
This category generally applies to Creative Services that can be completed flexibly and do not require the Studio to reserve a specific attendance date or time. Examples may include editing, retouching, post-production and similar remote creative work.
Because these services are not tied to a reserved date or Studio time slot, any cancellation charge will reflect the work already carried out and any reasonable, unavoidable costs incurred by the Studio. If the Customer cancels before work begins, no Studio charge will normally apply other than any reasonable unavoidable costs. If work has already started, the Studio may charge a reasonable amount for the work completed and any unavoidable costs incurred. If the Creative Services have been fully performed, the agreed Booking Price may be payable.
10.4 How a cancellation charge is applied
Any amount the Customer has already paid towards the Studio service is credited against the applicable cancellation charge. If the Customer has paid more than the lawful cancellation charge, the excess Studio-service amount must be refunded. If the Customer has paid less than the lawful charge, the Customer may remain responsible for the difference. Where the Customer has authorised a payment method for later Booking payments or agreed charges, Pixelly may attempt to collect an outstanding cancellation amount in accordance with the applicable payment arrangements. If a charge is reasonably challenged, the Studio must provide information reasonably requested by Pixelly about its loss, work performed, unavoidable costs and any replacement work. Pixelly does not guarantee collection of an unpaid Customer debt.
10.5 Consumer Cancellation Rights
If the Customer is an individual acting wholly or mainly outside their trade, business, craft or profession, they may have statutory consumer cancellation rights in addition to these Terms. Business Customers do not receive consumer cancellation rights merely because a Booking was made online.
A general 14-day cancellation right can apply to many service contracts made online. However, the Consumer Contracts Regulations contain exceptions, including for services related to leisure activities where the contract provides for a specific date or period of performance. A fixed-date personal photography or videography Booking may fall within that exception depending on its actual nature and purpose; Pixelly does not treat every Creative Service as automatically exempt.
Where a statutory 14-day right applies and the Studio or Pixelly is to begin providing a relevant service during that period, Pixelly will obtain any express request, consent or acknowledgement required through the Booking process and the Studio must cooperate with that process. If the Customer cancels after a service has started following a valid early-performance request, the Customer may have to pay a proportionate amount for service already supplied. A statutory cancellation right can be lost after full performance only where the applicable conditions have been met. Any statutory right that gives the Customer a better outcome than the standard cancellation terms takes priority, including in relation to the Pixelly Service Fee.
11. Studio Cancellations and No-Shows
A Studio should cancel a confirmed Booking only where genuinely necessary. If the Studio cannot perform, it must tell the Customer and Pixelly promptly. The Studio may offer a reschedule where appropriate, but the Customer is not required to accept one. If no reschedule is accepted, all amounts paid by the Customer for that Booking, including the Pixelly Service Fee, will be refunded. This does not affect any additional rights the Customer may have under applicable law.
A Studio cancellation notified before the scheduled start does not by itself make the Booking eligible for a Studio review. A Studio no-show may be review-eligible in the circumstances described in section 14.
Where a Studio cancels or no-shows, the Studio owes Pixelly a Studio Cancellation Charge equal to 2.5% of the Booking Price. This reflects Pixelly's lost Service Fee and reasonable payment or administrative costs caused by the Studio cancellation. Pixelly may waive or reduce the charge where the cancellation resulted from a genuine emergency, legal or safety requirement, or other circumstances outside the Studio's reasonable control.
Pixelly may set the Studio Cancellation Charge off against amounts otherwise payable to the Studio through Pixelly. If there is no sufficient amount available for set-off, Pixelly may invoice the Studio and the charge is payable within 7 days of the invoice. Pixelly will not automatically debit a separate Studio payment method unless the Studio has given the necessary authority for that collection method. Repeated avoidable cancellations, late cancellations or no-shows may result in warnings, restrictions, suspension or termination.
12. Providing the Creative Service, Deliverables and Booking Changes
The Studio must perform each Booking with reasonable care and skill, in accordance with the confirmed service description, agreed date or time and applicable law. It must provide the equipment, personnel, licences and permissions reasonably required, communicate material issues promptly, treat Customers and participants appropriately, and deliver agreed outputs within the stated or agreed timescale.
A Booking may be changed only by agreement between the Customer and Studio. A change is effective only when accepted and recorded or confirmed through Pixelly. If a material change cannot be agreed, the applicable cancellation rules may apply. The Customer has no automatic contractual right to reschedule.
Where the Studio supplies deliverables through Pixelly, it must upload the agreed files within the stated or agreed delivery timescale. Unless a different period is stated for the Booking, Pixelly generally makes those deliverables available to the Customer for 30 days from upload, so Pixelly should not be treated as permanent archive storage for the Studio's client files.
13. Intellectual Property, Portfolio Use and Pixelly Promotion
Unless the Booking states otherwise, copyright in original creative work produced by the Studio remains with the Studio and the Customer receives a non-exclusive, perpetual licence to use the agreed deliverables for the purpose reasonably contemplated by the Booking. Broader, exclusive or assigned rights may be agreed where clearly stated before confirmation.
Use of identifiable Customer or participant images, video or other Booking content in the Studio's portfolio, advertising or social media must be lawful and follow any separate consent choice recorded for the Booking. Portfolio or marketing consent must not be assumed merely because the Customer booked through Pixelly.
The Studio retains ownership of media and content it owns and uploads to its Pixelly profile or listings. It grants Pixelly a worldwide, non-exclusive, royalty-free licence while that content is available on Pixelly, and for reasonable archival or continuity periods afterwards, to host, reproduce, resize, crop, display and use that content for operating and promoting Pixelly and Studio listings, including on Pixelly-controlled social-media accounts and marketplace promotional material. Pixelly will credit or tag the Studio where reasonably practicable. The Studio must have the rights and permissions needed to grant this licence.
14. Communications, Reviews, Data Protection and Website Rules
The Studio must comply with the Website Terms when using messages, reviews and other marketplace features, including the rules on acceptable use, illegal content and User Content.
A review of a Studio may only be submitted by a Customer whom Pixelly identifies as eligible in connection with a genuine Pixelly Booking. Subject to the review functionality made available, a Customer will ordinarily become eligible to review after the Studio has completed the Creative Services. A Booking that is cancelled before the scheduled start does not become review-eligible merely because it was confirmed.
If the Studio fails to attend or provide the agreed service at the scheduled time without prior notice and without a reasonable explanation accepted by Pixelly after review, Pixelly may treat the incident as a Studio no-show and may permit the Customer to review that experience. Pixelly may request information reasonably needed to verify review eligibility or investigate suspected manipulation. Genuine negative feedback will not be removed merely because the Studio disagrees with it.
The Studio must not create, commission or arrange a fake or misleading review; manipulate ratings or review activity; or offer, provide, request, accept or arrange payment, discounts, gifts, benefits or any other incentive in exchange for a review. The Studio must not pressure a Customer to remove genuine negative feedback or make complaint resolution, a refund or another benefit conditional on the Customer changing, removing or withholding a review. Pixelly may verify review activity and investigate or act on suspected manipulation in accordance with the Website Terms.
If the Studio provides Pixelly with personal information about another person, the Studio must be entitled to provide it and it must be relevant and reasonably necessary for the Booking or the Studio's use of Pixelly. The Studio must provide that person with any information about the use of their data that it is required to provide. Pixelly's Privacy Policy explains how Pixelly handles information received about someone from another source.
When the Studio uses Customer, participant or other personal information for the Studio's own Creative Services, the Studio acts independently from Pixelly and must comply with applicable data-protection law. This includes using only information reasonably needed for lawful purposes, providing any privacy information the Studio is required to provide, keeping the information appropriately secure, respecting applicable rights and not using Booking information for unrelated direct marketing unless the Studio has a lawful basis and complies with electronic-marketing rules. Pixelly's Privacy Policy explains Pixelly's separate processing of messages, Booking information, files and other personal information.
15. Complaints, Disputes and Payment Holds
The Studio should try to resolve service issues professionally with the Customer through Pixelly. Pixelly may provide administrative support, request relevant evidence and facilitate communication, refunds or payment administration, but does not become the supplier of the Creative Services or automatically determine legal liability between the parties.
Where a complaint, refund request, chargeback, fraud concern or legal requirement affects a Booking before payout, Pixelly may pause or delay payout while an administrator reviews the circumstances and relevant evidence. Pixelly may reverse or offset amounts only to the extent reasonably justified by that review, permitted by law and consistent with the payment arrangements. The Studio may challenge a Pixelly marketplace decision through the Enquiries form.
Where a refund, reversal or chargeback results from the Studio's non-performance, breach, materially inaccurate listing or other act or omission, the Studio will be responsible for the resulting amount to the extent permitted by law and the applicable payment arrangements.
Pixelly will not make the Studio responsible for a loss that was caused solely by Pixelly’s own error, and a chargeback will not automatically be treated as the Studio's responsibility simply because a Customer or bank has disputed a payment. Pixelly will review the available evidence. If Pixelly is satisfied that the Studio complied with the applicable Booking, Pixelly Terms and any valid Studio terms, and completed the Creative Services, the Studio will remain entitled to the amount due for that Booking where the Customer's dispute is fraudulent or otherwise unfounded. In those circumstances, Pixelly will not pass the chargeback loss to the Studio, subject to any overriding legal or payment-provider restriction.
16. Legal and Regulatory Reporting
The Studio is responsible for its own tax affairs. Separately, Pixelly may be legally required to collect, verify, retain and report information about Studios and payments made through the marketplace, including under UK digital-platform reporting rules. The Studio must provide accurate information reasonably required for those obligations. Where Pixelly is legally required to report Studio information to HMRC or another authority, Pixelly may do so and will provide the Studio with any copy or information that Pixelly is legally required to provide.
17. Account Restriction, Suspension, Closure and Termination
The Studio may stop using Pixelly and request closure of its Studio Account, subject to any active Booking, outstanding payment or payout, active subscription, unresolved complaint or dispute, or other matter that reasonably requires the Account to remain open.
Pixelly may restrict a listing or feature, suspend a Studio Account or terminate the Studio's access where reasonably necessary because of breach, fraud, safety concerns, repeated cancellations or no-shows, non-payment, incomplete or failed verification, legal or regulatory requirements, misuse or material risk to users or Pixelly.
Where applicable platform-to-business law requires it, Pixelly will provide a statement of reasons on a durable medium when restricting or suspending the service. Where Pixelly terminates the whole Studio relationship, Pixelly will normally give at least 30 days' advance notice and reasons on a durable medium unless a legal obligation, repeated infringement, fraud or safety issue, or another permitted exception allows shorter or immediate termination. The Studio can challenge the decision through Pixelly's Enquiries form.
Termination does not erase obligations relating to existing Bookings, refunds, chargebacks, outstanding fees or charges, intellectual property, legal reporting or claims arising before termination. Where Pixelly restricts or suspends a Studio for safety, fraud, failed verification, legal or regulatory reasons, Pixelly may limit Account functions or communications and may decide that an affected Booking cannot safely or lawfully continue. In that case Pixelly may cancel or refund the Booking or take other proportionate steps, without making Pixelly the supplier of the Creative Services and subject to the Customer's and Studio's mandatory rights.
Inactive Accounts
If the Studio Account has not been accessed for 12 consecutive months, Pixelly may contact the Studio using the email address registered to the Account to let it know that the Account is due to be closed. The Studio will normally be given at least seven days from the date of that notice to sign in to the Account if it wishes to keep it open.
If the Studio does not access the Account within that period, Pixelly may close the Account. Pixelly will not close a Studio Account under this process where there is an active Booking, unresolved complaint or dispute, outstanding payment or payout, active subscription or other matter that reasonably requires the Account to remain active.
Closing a Studio Account does not necessarily result in the immediate deletion of all information associated with it. Pixelly may retain information where required for legal, regulatory, tax, fraud-prevention, dispute or other legitimate purposes. Personal information that is no longer required will be deleted or anonymised in accordance with the Privacy Policy.
18. Changes to These Studio Terms
Pixelly may update these Studio Terms for legal, regulatory, security, operational or commercial reasons. Except where a permitted exception applies, Pixelly will notify the Studio of proposed changes on a durable medium at least 15 days before they take effect and will give a longer period where reasonably necessary for the Studio to make technical or commercial adjustments.
The Studio may terminate its relationship with Pixelly before the end of the applicable notice period if it does not wish to continue under the revised Terms. Continuing to use Pixelly after the revised Terms take effect means the revised Terms apply to the continuing relationship. Pixelly may require active re-acceptance for a particularly significant change but does not require a new checkbox for every amendment. Changes will not retrospectively alter the material commercial terms of a confirmed Booking or paid subscription period unless the law requires it, the change is beneficial to the Studio, or the affected parties agree.
19. Liability
Each party remains responsible for its own acts and legal obligations. The Studio is responsible for the Creative Services, its personnel, equipment, premises, insurance, taxes, licences, intellectual property and compliance with laws applicable to its business.
Pixelly is responsible for providing its marketplace services with reasonable care but does not guarantee uninterrupted access, a minimum number of enquiries or Bookings, Customer behaviour, successful collection of unpaid Customer debts or the Studio's commercial results. To the fullest extent permitted by law, Pixelly is not liable to the Studio for indirect or consequential loss, or for loss of profit, revenue, goodwill, opportunity or anticipated savings arising from the Studio's use of the marketplace. Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
20. Governing Law
These Studio Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation, including any non-contractual dispute or claim, are governed by the law of England and Wales.
Pixelly and the Studio agree that the courts of England and Wales will have exclusive jurisdiction to resolve any such dispute or claim, except where applicable law requires otherwise.
21. Print Orders
You may offer photographs from your Pixelly gallery as physical prints. Only images already in your gallery may be offered, and you must publish the print sizes and frame options you actually supply before any image goes on sale. You confirm you hold the rights and any permissions needed to sell prints of each image you offer.
A Customer requests a price and you respond with a price made up of the print price, delivery and Pixelly's Service Fee at the rate in force when the price is sent. No contract exists until the Customer accepts and pays. If you begin producing a print before the Customer has accepted and paid, you do so at your own risk and may not charge the Customer for that work.
Once a Customer has accepted and paid, the print is a bespoke, made-to-order item and the Customer has no change-of-mind cancellation right. You remain responsible for producing and dispatching the item within the timescale you state, for the quality and accuracy of the item, and for the risk of loss or damage until delivery. Where an item is faulty, damaged, incorrect, not as described or undelivered, you must repeat production, replace or refund it, and the Customer's statutory rights apply in full. If you cancel or cannot fulfil an order, the Customer is refunded everything paid, including delivery and the Service Fee, and the Service Fee is not recovered from the Customer.
22. Team Profiles
You may publish an optional "Meet the team" area on your Studio profile, which may include a photograph, a name or label, a role or title and a short description for each person shown. This content is publicly visible and is published by you, not by Pixelly.
Before publishing any person's photograph or details you must have that person's agreement to appear publicly on your Studio profile, and you must tell them how to ask for changes or removal. You must not publish anyone under 18, or any other third party, without the necessary agreement. You are responsible for keeping team entries accurate and for removing a person promptly when they leave your business or withdraw their agreement.
You are the controller of the personal information you publish in your team area. The content warranties, indemnity and removal provisions in these Studio Terms apply to team content in the same way as to other content you publish. Pixelly may edit, restrict or remove team content where reasonably necessary, including where a person shown has not agreed to appear or has asked to be removed.
