1. About These Studio Subscription Terms
These Studio Subscription Terms (the "Subscription Terms") form part of the agreement between Pixelly Ltd ("Pixelly", "we", "us" or "our") and the business or self-employed trader (the "Studio") that purchases or activates a recurring Studio subscription.
They apply specifically to the Studio Subscription, recurring Subscription Fees and optional paid add-ons. They should be read together with the Pixelly Studio Terms, Website Terms of Use and any other terms or policies expressly stated to apply. Any capitalised term used in these Subscription Terms but not defined here has the meaning given to it in the Studio Terms.
These Subscription Terms should be read together with the Pixelly Studio Terms. The Studio Terms continue to govern the Studio Account, Listings, Bookings, Customers, payouts, verification, conduct, suspension and the wider Studio-Pixelly relationship.
The Subscription is offered only to Studios acting for purposes relating to their trade, business, craft or profession. It is not a consumer subscription.
2. What the Studio Subscription Provides
Subject to the Studio satisfying Pixelly's eligibility, verification and other applicable requirements, an active Subscription enables the Studio to use the Studio-facing marketplace functionality included in the applicable plan. This is intended to enable a Studio to promote and manage its business through Pixelly and may include the ability to:
-
maintain an active Studio profile and publish and manage Studio Listings;
-
appear in relevant Customer searches and discovery features, subject to Pixelly's ranking and search rules;
-
display portfolio photographs, videos and other Listing content within the standard media allowance included with the Subscription;
-
set and manage services, packages, prices, availability and other Listing information;
-
receive and respond to Customer enquiries through Pixelly;
-
use Pixelly messaging and Booking tools;
-
receive, review and accept Booking requests and manage confirmed Bookings;
-
embed Pixelly’s booking calendar into the Studio’s own website, where that functionality is made available, so Customers can view availability and submit Booking requests through Pixelly’s booking functionality via the Studio’s website;
-
access relevant Booking, payment and payout information made available through the Studio dashboard;
-
receive and manage reviews and other Studio information made available through the Platform; and
-
purchase eligible Subscription add-ons, including additional authorised seats and additional Listing-media capacity.
The exact features available may develop as Pixelly evolves. Pixelly does not guarantee that subscribing will result in any minimum number of views, enquiries or Bookings, any particular search position, or any particular level of revenue or commercial success.
Where a feature is necessary to manage or complete an existing confirmed Booking, Pixelly may continue to make that feature available after the Subscription ends to the extent reasonably necessary for the Studio and Customer to complete outstanding obligations.
3. Standard Subscription Fee
The current standard Studio Subscription Fee is £49.99 per month.
Before the Studio subscribes, Pixelly will clearly show the applicable Subscription Fee, billing interval, VAT treatment, any free or promotional period, the date on which paid billing will start and the automatic renewal arrangements. The commercial terms shown to the Studio at the point of subscription form part of the Subscription agreement.
The Studio authorises Pixelly and its payment provider to collect the recurring Subscription Fee using the payment method selected or stored for that purpose until the Subscription is cancelled or otherwise ends.
Any VAT or other tax that Pixelly is legally required to charge in relation to the Subscription will be shown or applied in accordance with applicable law.
4. Free Periods and Promotions
Pixelly may offer a free period, introductory price or other promotion from time to time. Any eligibility conditions, duration, paid-start date and price applying after the promotion will be shown before the Studio activates the offer.
Unless Pixelly expressly states otherwise, a Subscription that begins with a free or promotional period will automatically move to the applicable paid Subscription at the end of that period unless the Studio cancels before the paid-start date shown to it.
A Studio is not entitled to repeat or combine a free period or promotion by cancelling and re-subscribing, creating another Account or otherwise attempting to circumvent eligibility rules, unless Pixelly expressly permits it.
5. Billing and Automatic Renewal
The Subscription renews automatically each month until cancelled or otherwise ended under these Subscription Terms or the Studio Terms.
The applicable recurring charge will normally be collected on or around the renewal date shown to the Studio. A payment-provider processing delay does not change the underlying renewal date unless Pixelly tells the Studio otherwise.
The Studio must keep its payment information accurate and up to date and must ensure that it is authorised to use the payment method provided for Subscription charges.
6. Subscription Add-Ons
Pixelly may make optional add-ons available to Studios in addition to the Subscription. Available add-ons, their price and the functionality or additional allowance they provide will be shown before the Studio purchases them.
The add-ons currently available are:
| Add-On | Description | Price | Additional Notes |
|---|---|---|---|
| Additional Seat | Allows an additional authorised user from the Studio's own business to access and use the Studio Account and Studio dashboard. | £9.99 per month per additional seat | An additional seat does not create a separate Studio Profile, Studio Account or separate agreement with Pixelly. All authorised users operate under the same Studio Account and the Studio remains responsible for their access, conduct and compliance with the Studio Terms and these Subscription Terms. Seats must not be resold, transferred to an unrelated business or used to circumvent Account restrictions. |
| Media Add-On | Adds extra Studio Profile photo or video capacity. | The current price is shown before purchase. | The allowance and technical limits are shown before purchase. |
6.1 Purchasing and Renewing Add-Ons
Add-ons may be purchased through the Studio dashboard or another purchase method made available by Pixelly.
Before the Studio confirms an add-on, Pixelly will show the applicable price, what the add-on provides, the billing arrangements and any other material conditions applying to it.
Unless Pixelly states otherwise before purchase, an add-on is billed monthly and automatically renews until the Studio removes the add-on or the underlying Subscription ends.
Add-on charges are payable in addition to the Subscription Fee.
6.2 Removing an Add-On
A Studio may remove an add-on using the method made available through the Studio dashboard.
Removing an add-on stops future renewal charges for that add-on. Access to the relevant additional functionality or allowance will continue until the end of any period already paid for unless Pixelly states otherwise when the add-on is purchased.
Amounts already paid are not normally refundable solely because the Studio removes an add-on during a paid billing period, except where required by law or where necessary to correct a Pixelly error.
Ending the underlying Subscription will also end any recurring add-ons.
Where a Media Add-On ends and the Studio has more Profile media than permitted under its remaining allowance, Pixelly may require the Studio to select which media it wishes to retain and may stop displaying media above the applicable allowance.
Where an Additional Seat ends, the Studio must ensure that the relevant authorised user's access to the Studio Account is removed.
7. Changes to Subscription and Add-On Prices
Pixelly may change the standard Subscription Fee or the price of a recurring add-on for legal, regulatory, operational or commercial reasons.
A price change will not retrospectively alter an amount already paid or the price for a paid billing period that has already started. Instead, the new price will apply from the first renewal occurring on or after the stated effective date of the change.
Pixelly will notify the Studio of a proposed price increase on a durable medium at least 15 days before it takes effect and will give a longer period where reasonably necessary or where applicable law requires it. The notice will identify the new price and when it will first apply.
If the Studio does not wish to pay the new price, it may cancel the affected Subscription or add-on before the renewal at which the new price is due. If the Studio does not cancel and the Subscription or add-on renews on or after the effective date, the new recurring charge will apply from that renewal.
A lower price, discount or other change that is beneficial to the Studio may be applied earlier where permitted by law. A temporary promotion offered to new or selected Studios does not automatically entitle existing Studios to the promotional price unless Pixelly states otherwise.
8. Cancellation by the Studio
The Studio may cancel its Subscription at any time using the cancellation method made available by Pixelly.
Cancellation stops future Subscription renewals. Unless Pixelly states otherwise or the Account is restricted or terminated for breach, access to paid Subscription features will continue until the end of the current paid billing period.
Amounts already paid are not normally refundable merely because the Studio cancels part-way through a paid billing period, except where required by law or where Pixelly needs to correct its own error.
Cancelling the Subscription does not automatically close the Studio Account and does not cancel, release or alter obligations relating to any existing confirmed Booking, Customer, refund, dispute, chargeback, payout, outstanding fee or legal obligation. The Studio must continue to perform existing Bookings in accordance with the applicable Studio Terms.
After paid Subscription access ends, Pixelly may prevent the Studio from publishing new Listings, receiving new enquiries or accepting new Bookings, while retaining any limited Account functionality reasonably required to administer existing obligations.
9. Failed or Unpaid Subscription Charges
If a Subscription or add-on payment fails, Pixelly or its payment provider may make reasonable further attempts to collect the amount due and may ask the Studio to update its payment method.
Pixelly may suspend Subscription-enabled features while an undisputed Subscription charge remains overdue. Any restriction will not remove the Studio's responsibility for existing Bookings or other obligations already incurred.
Persistent non-payment may result in cancellation of the Subscription or further restriction, suspension or termination of the Studio Account in accordance with the Studio Terms.
10. Changes to Subscription Features
Pixelly may develop, replace, improve or discontinue Subscription features as the Platform evolves. Pixelly will not use a feature change to retrospectively remove a material paid entitlement for a paid billing period that has already started unless the change is required by law, necessary for security or safety, beneficial to the Studio, or the Studio agrees.
Where a proposed change materially reduces the core functionality of the Subscription on an ongoing basis, Pixelly will give reasonable advance notice and the Studio may cancel before the change takes effect if it does not wish to continue.
Pixelly may introduce new optional features, add-ons or subscription plans without making them part of an existing Subscription unless Pixelly expressly states that they are included.
11. Restriction, Suspension and Termination by Pixelly
Pixelly may restrict Subscription features, suspend the Studio Account or terminate the Studio relationship in the circumstances set out in the Studio Terms, including for material breach, fraud, safety concerns, non-payment, failed verification, legal or regulatory requirements or misuse of the Platform.
Where Pixelly permanently ends a paid Subscription for reasons that are not attributable to a breach or other default by the Studio, Pixelly will make any refund or credit that is appropriate for a prepaid period during which the relevant paid Subscription functionality is no longer provided, subject to applicable law and the circumstances of the termination.
Termination does not affect rights or obligations that arose before termination.
12. Changes to These Subscription Terms
Pixelly may update these Subscription Terms for legal, regulatory, security, operational or commercial reasons. Except where a permitted exception applies, Pixelly will notify the Studio of proposed changes on a durable medium at least 15 days before they take effect and will give a longer period where reasonably necessary for the Studio to make technical or commercial adjustments.
The Studio may cancel its Subscription before the end of the applicable notice period if it does not wish to continue under the revised Subscription Terms. Continuing with the Subscription after the revised terms take effect means the revised Subscription Terms apply to the continuing Subscription. Pixelly may require active re-acceptance for a particularly significant change but does not require a new checkbox for every amendment.
Changes will not retrospectively alter the material commercial terms of a paid Subscription period that has already started unless the law requires it, the change is beneficial to the Studio, or the Studio agrees.
13. Liability and No Guarantee of Business Results
The Subscription provides access to Platform functionality. It does not purchase advertising impressions, guarantee a particular ranking position or guarantee any enquiry, Booking, Customer response, revenue, profit or other business result.
Pixelly's liability in connection with the Subscription is subject to the liability provisions in the Studio Terms. Nothing in these Subscription Terms excludes or limits liability that cannot lawfully be excluded or limited.
14. Governing Law
These Subscription Terms and the Subscription relationship between Pixelly and the Studio are governed by the law of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory rule that applies otherwise.
